Knowledge as an asset: the legal corner I keep coming back to
The legal framework for treating accumulated organizational knowledge as a real asset is older than the AI conversation and incomplete in ways the AI conversation makes more visible. Worth pulling on the thread.
A corner of the legal framework that I keep coming back to: how do organizations actually treat the accumulated knowledge in their systems as a legal asset? The framework that exists is older than the AI conversation, was patchy before the AI conversation, and is meaningfully more important now that AI systems are the foundation through which the knowledge gets exercised. Worth pulling on the thread because the gaps it exposes are going to matter more over the next few years than the standard IP-and-data conversation has been treating them.
What the existing framework covers
The traditional legal framework for organizational knowledge breaks into a few categories:
Trade secrets. Stuff that's secret and gives competitive advantage. Protection comes from keeping it secret and from contractual obligations on people who learn it. The Defend Trade Secrets Act in the US, similar frameworks in other jurisdictions.
Copyrights and patents. Specific creative works and specific inventions, registered or unregistered, with defined ownership and protection terms.
Database rights. In some jurisdictions (notably EU), specific protection for the structured collection of information independent of its individual elements.
Contractual provisions. Employment agreements, vendor agreements, user agreements that allocate rights to information generated, used, or accumulated through the relationship.
That covers a lot. It doesn't cover the most interesting cases that show up in AI-using organizations.
What the framework doesn't cover well
Several categories of organizational knowledge that don't fit the existing framework cleanly:
Accumulated workflow expertise. The way a team has learned to do its work over years. Not patentable (not novel enough), not copyrightable (not creative enough), not really a trade secret (too distributed across people). Hugely valuable; barely protected.
Conversational context with customers and partners. The accumulated history of interactions, the relationship knowledge, the know-how about how to work with each specific counterparty. Protected weakly through customer-relationship contracts; not really treated as a distinct asset.
Curated training data. The dataset that took years to assemble and is the basis for a domain-specific model. Maybe protected as a trade secret if the org keeps it secret; database rights in some jurisdictions; otherwise mostly not.
Encoded persona / institutional voice. The accumulated patterns that make an organization's communications sound like that organization. Not protected at all in any of the existing frameworks.
Memory in AI systems. The accumulated state in vector stores, conversation memories, fine-tuned weights. Treated as data; not really treated as a coherent asset class.
These are real categories. They have real value. The legal framework for them is patchwork or absent.
Why the AI conversation makes this more visible
A few specific ways the AI deployment pattern surfaces the gap:
The exit problem when an employee leaves. When a person who knew how to do the work leaves, the organization loses what was in their head. With AI systems, the "person" might be an agent, and the question of what stays with the org versus what's portable to the person is murkier than the standard non-compete framing handles.
The vendor-leverage problem. When the org's AI workflows depend on a vendor, the vendor-lock-in surface extends to the accumulated personal context held by the vendor. The asset isn't really portable.
The PII-as-knowledge problem. Customer interactions captured in AI systems are simultaneously a PII liability and a knowledge asset. Treating them as both at the same time is operationally awkward.
The training-data ownership problem. When an org curates training data for fine-tunes, the data has lifespan and value beyond any single use. The framework for protecting it as a long-lived asset is thin.
The institutional-voice ownership problem. When AI systems learn to write in an organization's voice, that learned pattern has commercial value. Who owns it when it lives in a vendor's fine-tune? Mostly not the organization.
These aren't theoretical. They're showing up in real disputes, real contract negotiations, real exit scenarios. The legal framework hasn't caught up.
What thoughtful orgs are doing
A few patterns that mature organizations have started building, ahead of the legal framework catching up:
Explicit knowledge-asset registries. Documenting what knowledge the org considers a real asset, who owns each piece, what protection applies. Not legally binding by itself; foundational for being able to assert claims when the dispute happens.
Vendor agreements with knowledge-portability provisions. Specific contract terms about what happens to accumulated knowledge held by the vendor when the relationship ends. Memory artifacts, fine-tune weights, indexed corpora, explicitly addressed in the contract.
Employment agreements updated for AI context. Provisions about what an employee leaving owes the org regarding AI-system context they shaped, prompts they wrote, evaluation suites they curated. Not litigated yet; meaningful that the agreements exist.
Internal knowledge-protection programs. Treating the curated training data, the institutional-voice fine-tunes, the accumulated workflow expertise as a real asset class with documented controls and access policies.
Cross-functional knowledge councils. Legal, IT, HR, and the AI platform team meeting regularly to address the cross-cutting issues. Same shape as the Information Governance pattern from the early 2000s, applied to the AI foundation.
These are early-stage patterns. The orgs doing them are building the muscle before the legal framework catches up; the orgs that aren't will be playing catch-up in a few years.
Where I expect this to go
Over the next two-to-three years, a few specific developments to watch:
Case law on AI-encoded knowledge ownership. The first major case where an AI system's accumulated context becomes a contested asset between parties (most likely an employee-departure or vendor-relationship-termination case) will set precedent.
Contractual standardization. The model contracts for AI vendor relationships will start including standard provisions for knowledge portability, fine-tune ownership, memory-artifact disposition. The big consulting firms are working on this.
Regulatory framework updates. Both data protection (GDPR-style) and IP frameworks will get updates that acknowledge AI-encoded knowledge as a distinct asset class. EU likely first; other jurisdictions following.
Insurance products. Coverage for knowledge-asset loss in AI contexts. The market is starting to form; the products are immature.
Audit standards. SOC 2 / ISO 27001 / industry frameworks will add controls around AI knowledge-asset management. Following the same trajectory as PII-in-AI controls.
These aren't speculative. The pieces are forming. The orgs that anticipate the direction have time to build the muscle; the orgs that don't will adapt under pressure.
The connection to the imprint thesis
The encoding-a-person framing from 2023 is what got me started thinking about this. The original piece argued that the durable AI category is one where personal context accumulates into a useful model of a person. The legal extension of that argument is: organizations are also encoding themselves into AI systems, and the legal framework for protecting and managing that encoded self is patchwork.
The imprint thesis was about individuals. The same dynamics apply to organizations. The framework that lets an individual reason about who owns their personal AI context is the same framework that should let an organization reason about who owns its institutional context. Neither framework is fully built.
What I'd recommend
For organizations that take their accumulated knowledge seriously:
- Start the knowledge-asset registry. Document what you consider a real asset and who owns each piece.
- Update vendor agreements going forward. Include knowledge-portability provisions; require artifact disposition on termination; address fine-tune ownership.
- Update employment agreements. Address AI-system context in the same way IP assignment is addressed.
- Bring legal into the AI platform conversation. The cross-functional discipline is the only way the gaps get caught.
- Watch the case law. The first major precedent will land; align internal practices to where the law is going rather than where it currently is.
The legal corner of the AI conversation is one of the most important and least talked-about pieces. Worth pulling on the thread. The orgs that pull on it sooner will have better answers when the questions become formal disputes; the orgs that don't will be reading the case law as it lands and adapting backward.
Knowledge as an asset is real. The framework for treating it that way is gettable. Worth building.
